Divjak, Topić & Bahtijarević Law Firm has won the first ever CEE Legal Matters CEE Deal of the Year Award for Croatia at the Deal of the Year Awards Banquet in Prague on June 7 for its work on Arriva’s acquisition of Autotrans.
Winners were selected from all deals signed in the 2017 calendar year, and were based on deal complexity, market (and regional) significance, and innovation.
Final nominees were selected by a first panel of highly-regarded private practitioners in Croatia and a second, “Final Selection Committee,” of prominent legal experts from across Central and Eastern Europe. The awards were announced at the CEE Legal Matters Annual Banquet that concluded the international Dealer’s Choice law firm conference at the Czech National Bank in Prague.

Twenty years of Competition Enforcement in Croatia

Arriva acquires 78.34% in Autotrans Group, thus becoming number one private bus operator in Croatia. Arriva has operated in Croatia since 2013, and the deal with Autotrans signals the company’s commitment to improving public transport services in Croatia and is part of Arriva’s continuing expansion strategy throughout Europe.
Arriva operates in 14 countries across Europe, employing around 60,000 people and delivering more than 2.2 billion passenger journeys every year.
After receiving green light from the Croatian Competition Agency for the concentration following which Arriva will have market share of 25-30 per cent, the deal was finalized this month.
This major acquisition transaction was fully structured and implemented by lawyers from Divjak, Topić & Bahtijarević Law Firm and included M&A and competition expertize.

Changes on the Croatian Insurance Scene

Croatia Osiguranje, the largest and oldest insurance company in Croatia, concluded a deal with the French BNP Paribas Cardif Insurance to take over 100 % of its local unit, thus becoming the sole owner of BNP Paribas Cardif Insurance in Croatia. The signing took place on 24 May 2017 whereas the transaction is subject to final approval by the Croatian Financial Services Supervisory Agency (HANFA).

BNP Paribas Cardif Insurance was advised by combined teams of the international law firm Gide Loyrette Nouel and the Croatian law firm Divjak, Topić & Bahtijarević, led by senior partner Saša Divjak and senior associate Ema Menđušić Škugor.
